These Terms and Conditions govern the use of the News By Wire platform and services.

They apply to:

  1. persons and organisations that submit, upload, supply or distribute content through News By Wire; and

  2. journalists, publishers, bloggers, media organisations, broadcasters, news aggregators, website operators and other persons who access, download, reproduce, republish or otherwise use content made available through News By Wire (“News By Wire”, “we”, “us” or “our”).

By creating an account, purchasing or using a service, submitting content, using a download, feed, API or distribution facility, or otherwise expressly accepting these Terms, you agree to be bound by them.

Where you use News By Wire on behalf of a company, agency, organisation or other person, you confirm that you have authority to bind that person to these Terms.

News By Wire is intended primarily for business, professional, journalistic and media use.

PART A: GENERAL PROVISIONS

1. Definitions

In these Terms:

“Contributor” or “Uploader” means any person or organisation that submits, uploads, supplies or distributes content through News By Wire.

“Contributor Content” means any press release, announcement, article, statement, text, photograph, image, graphic, illustration, logo, document, video, audio recording, data, research or other material supplied by or on behalf of a Contributor.

“Release Content” means the written text and associated information forming part of a press release, announcement or other submission.

“Media Assets” means photographs, images, graphics, illustrations, logos, video, audio, documents and other media supplied with Contributor Content.

“Content User” means any journalist, blogger, publisher, broadcaster, media organisation, news aggregator, website operator or other person accessing or using Contributor Content.

“Distribution Partner” means a third-party service, platform, website, database, feed, network or technology provider used by News By Wire to provide its distribution service.

“Services” means the News By Wire website, hosting and distribution platform, feeds, databases, APIs and associated services.

2. Role of News By Wire

News By Wire provides a technology, hosting and distribution service through which independent third parties can submit and disseminate press releases and associated content.

Contributor Content originates from third parties.

Unless expressly stated otherwise, Contributor Content is not written, commissioned, produced or created by News By Wire.

News By Wire does not ordinarily:

(a) fact-check Contributor Content;

(b) independently verify statements contained in Contributor Content;

(c) investigate allegations contained within Contributor Content;

(d) verify copyright ownership;

(e) verify intellectual property licences;

(f) verify permissions relating to photographs, video, audio or other Media Assets;

(g) verify the identity or authority of every person mentioned within Contributor Content;

(h) provide legal clearance for Contributor Content; or

(i) substantively edit Contributor Content before publication or distribution.

The publication, hosting, transmission or distribution of Contributor Content by News By Wire does not mean that News By Wire:

(a) endorses the Contributor;

(b) endorses Contributor Content;

(c) confirms that any statement is true, accurate, complete or current;

(d) confirms that publication is lawful;

(e) confirms that the Contributor owns copyright;

(f) confirms that all intellectual property permissions have been obtained;

(g) adopts any statement, allegation, opinion, claim or representation as its own;

(h) recommends any company, organisation, product, service, investment or individual mentioned in Contributor Content; or

(i) accepts responsibility for decisions made in reliance upon Contributor Content.

3. Technical and Administrative Processing

News By Wire may carry out technical or administrative processing necessary to operate the Services.

This may include:

(a) formatting;

(b) categorisation;

(c) tagging;

(d) indexing;

(e) creation or alteration of metadata;

(f) resizing;

(g) encoding;

(h) file conversion;

(i) syndication;

(j) automated processing;

(k) correction of obvious formatting or typographical issues; and

(l) creation of technical copies.

News By Wire may also review, restrict, reject, suspend or remove content for legal, regulatory, safety, technical, security, commercial or policy reasons.

These activities do not constitute verification, approval, adoption or endorsement of Contributor Content.

Except where applicable law requires otherwise, News By Wire does not undertake to pre-screen every item of Contributor Content.

PART B: UPLOADERS AND CONTRIBUTORS

4. Responsibility of the Uploader

The Uploader is responsible for Contributor Content supplied, submitted or uploaded by or on behalf of that Uploader.

The Uploader must check Contributor Content before submission.

News By Wire’s acceptance, processing, publication, hosting, transmission, distribution or failure to remove Contributor Content does not transfer responsibility for that content to News By Wire.

The Uploader acknowledges that News By Wire relies upon the Uploader’s warranties and representations when accepting and distributing Contributor Content.

Nothing in these Terms excludes any responsibility which applicable law imposes directly upon News By Wire and which cannot lawfully be excluded.

5. Express Warranty of Ownership, Rights and Authority

This section is a fundamental condition of every submission made to News By Wire.

By submitting or uploading Contributor Content, the Uploader expressly represents, warrants and undertakes that:

(a) the Uploader owns the copyright and all other necessary rights in the Contributor Content, or has obtained all licences, permissions, consents, releases and authorities required for submission, publication, hosting and distribution through News By Wire;

(b) where the Uploader is not the copyright owner, the Uploader has sufficient authority from the copyright owner or other relevant rights holder to permit News By Wire to exercise the rights granted under these Terms;

(c) the Uploader has full authority to grant News By Wire the licence contained in section 7;

(d) News By Wire may lawfully receive, reproduce, store, host, display, publish, transmit and distribute Contributor Content for the purposes of providing the Services;

(e) News By Wire may lawfully transmit and make Contributor Content available through Distribution Partners where reasonably necessary for provision of the Services;

(f) no payment, royalty, licence fee, permission or approval from a third party is required for News By Wire itself to exercise the rights granted under these Terms, except where a specific restriction has been disclosed to and expressly accepted by News By Wire in writing before distribution;

(g) Contributor Content does not infringe copyright, trade mark rights, database rights, design rights, moral rights, performers’ rights, privacy rights, publicity rights, confidentiality rights or any other rights of another person;

(h) all necessary permissions and licences have been obtained for photographs, images, illustrations, graphics, logos, videos, audio, music, quotations, documents, reports, research, data and other third-party material incorporated into Contributor Content;

(i) the Uploader has checked whether any photographer, agency, author, designer, publisher, videographer or other creator has imposed attribution, credit, licensing or usage conditions;

(j) all such conditions supplied to the Uploader have been accurately communicated to News By Wire;

(k) where necessary, the Uploader has obtained any permissions, waivers or consents relating to moral rights or equivalent rights required for News By Wire’s technical processing and distribution of Contributor Content;

(l) the Uploader has authority to submit Contributor Content on behalf of any company, organisation, client or other person identified as its source; and

(m) the Uploader will immediately notify News By Wire if it becomes aware that any warranty or representation in this section was inaccurate, incomplete or has ceased to be true.

The Uploader acknowledges that News By Wire is entitled to rely upon these express warranties without independently investigating the chain of ownership or licensing of Contributor Content.

An Uploader must not submit material where there is material uncertainty as to whether the Uploader possesses the rights necessary for News By Wire to host and distribute it.

6. Additional Uploader Warranties

The Uploader further represents, warrants and undertakes that:

(a) Contributor Content complies with applicable law;

(b) Contributor Content is not defamatory, maliciously false, fraudulent or otherwise unlawful;

(c) Contributor Content does not breach a court order, injunction, reporting restriction, confidentiality obligation or other restriction on publication;

(d) personal data contained within Contributor Content has been obtained and supplied lawfully;

(e) the Uploader has an appropriate lawful basis for the intended public disclosure of personal data contained within Contributor Content;

(f) factual representations are not knowingly false or materially misleading;

(g) the Uploader has a reasonable basis for material factual claims;

(h) advertising, promotional, investment, financial, medical, health, environmental and similar claims comply with applicable legal and regulatory requirements;

(i) the Uploader will not impersonate another person or falsely claim to represent another company or organisation;

(j) Contributor Content does not contain malware, malicious software or harmful code;

(k) information supplied concerning the Uploader and its account is materially accurate; and

(l) the Uploader has not knowingly omitted information in a manner which makes Contributor Content materially misleading.

These warranties apply each time Contributor Content is submitted.

7. Licence Granted to News By Wire

The Uploader retains ownership of any copyright or other rights which it owns in Contributor Content.

By supplying Contributor Content to News By Wire, the Uploader grants News By Wire a worldwide, non-exclusive, royalty-free, fully paid-up licence to:

(a) receive and store Contributor Content;

(b) reproduce Contributor Content as technically necessary to provide the Services;

(c) host and display Contributor Content through News By Wire;

(d) publish and distribute Contributor Content through News By Wire;

(e) transmit Contributor Content through feeds, APIs, email distribution and other News By Wire distribution systems;

(f) transmit and make Contributor Content available through Distribution Partners used by News By Wire for the purpose of providing the distribution service;

(g) index, cache and archive Contributor Content;

(h) create technical copies;

(i) make technical formatting and conversion changes reasonably necessary for distribution; and

(j) use reasonable headlines, extracts, thumbnails, metadata and links for the purpose of identifying, distributing or promoting the relevant Contributor Content.

This licence exists to enable News By Wire to operate its hosting and distribution service.

It does not constitute a general licence from News By Wire permitting independent Content Users to reproduce or republish Contributor Content on their own websites, publications or other services.

News By Wire does not acquire ownership of Contributor Content merely because it is submitted, hosted or distributed through the Services.

8. Distribution Partners

The Uploader acknowledges that providing a news distribution service may require News By Wire to transmit Contributor Content to third-party Distribution Partners.

The Uploader authorises such use where reasonably necessary to perform the Services purchased or requested by the Uploader.

A Distribution Partner may technically store, index, cache, process or display Contributor Content as part of News By Wire’s distribution arrangements.

This does not mean that News By Wire grants unrelated third parties or independent Content Users a general right to copy or republish Contributor Content.

9. Public Availability and Third Parties

The Uploader acknowledges that Contributor Content is submitted for public dissemination.

Contributor Content may therefore be:

(a) viewed by journalists and publishers;

(b) indexed by search engines;

(c) referenced by third parties;

(d) cached or archived;

(e) shared by users through links;

(f) transmitted through distribution systems; and

(g) accessible outside the News By Wire website.

The Uploader acknowledges that third parties may contact the Uploader concerning permission to reproduce, republish or otherwise use Contributor Content.

News By Wire does not undertake to negotiate or grant those permissions on behalf of the Uploader unless expressly agreed otherwise in writing.

10. Previously Distributed Content

Once Contributor Content has been transmitted or distributed to third parties, News By Wire may be unable to withdraw, amend or delete copies held, indexed, cached, archived or displayed by those parties.

Removal of Contributor Content from News By Wire does not require News By Wire to retrieve copies previously transmitted through the Services.

The licence granted to News By Wire continues to the extent reasonably necessary for:

(a) archival records;

(b) backups;

(c) legal or regulatory records;

(d) evidence concerning previous distributions; and

(e) technical copies already created as part of providing the Services.

11. No Confidentiality

Contributor Content is supplied for publication and distribution.

An Uploader must not submit information which it considers confidential, privileged, secret or unsuitable for public disclosure.

Unless News By Wire has expressly agreed otherwise in writing, submission of Contributor Content does not create a duty of confidentiality.

12. Uploader Indemnity

To the fullest extent permitted by law, each Uploader agrees to indemnify and keep indemnified News By Wire, its affiliates and their respective directors, officers, employees, contractors and agents against third-party claims, demands, proceedings, liabilities, damages, losses, settlements, judgments, penalties and reasonable legal and professional costs arising out of or in connection with:

(a) Contributor Content supplied by that Uploader;

(b) any allegation that Contributor Content infringes copyright;

(c) any allegation that Contributor Content infringes trade mark rights, database rights, design rights, moral rights or other intellectual property rights;

(d) any allegation of defamation, malicious falsehood, breach of confidence, misuse of private information or infringement of privacy rights;

(e) any breach of data protection, advertising, consumer protection or other applicable law attributable to Contributor Content;

(f) any breach of the warranties contained in sections 5 or 6;

(g) any false, misleading or unlawful statement contained within Contributor Content;

(h) any allegation that News By Wire did not possess sufficient permission to host, reproduce, transmit, display or distribute Contributor Content;

(i) any allegation that the Uploader did not own, control or possess rights which it represented that it owned, controlled or possessed;

(j) any copyright or other intellectual property claim made directly against News By Wire because of Contributor Content;

(k) any claim made against News By Wire by a Content User arising from false or inaccurate information supplied by the Uploader concerning ownership, copyright, licensing, restrictions or permissions;

(l) any demand that News By Wire reimburse, defend, compensate or indemnify a Content User because of Contributor Content supplied by the Uploader; or

(m) any other unlawful act or omission of the Uploader relating to Contributor Content.

The indemnity includes reasonable legal and professional costs incurred investigating, responding to, defending or settling a relevant claim.

News By Wire may require reasonable cooperation from the Uploader.

News By Wire may assume conduct of the defence or settlement of a relevant claim where it reasonably considers this necessary to protect its interests.

The Uploader must not make an admission or settle a claim in a manner which imposes liability or obligations upon News By Wire without News By Wire’s prior written consent.

This indemnity survives:

(a) removal of Contributor Content;

(b) closure of the Uploader’s account;

(c) completion of a distribution; and

(d) termination of these Terms.

13. Prohibited Content

Uploaders must not submit content which:

(a) is unlawful;

(b) infringes third-party rights;

(c) is defamatory or maliciously false;

(d) unlawfully harasses, threatens or abuses another person;

(e) facilitates fraud or criminal activity;

(f) unlawfully discloses personal, private or confidential information;

(g) breaches applicable advertising or financial promotion rules;

(h) contains malicious software or harmful technology; or

(i) otherwise creates material legal, regulatory or security risk.

Nothing in this section creates an obligation for News By Wire to discover every breach before Contributor Content is published.

PART C: JOURNALISTS, MEDIA OUTLETS AND OTHER CONTENT USERS

14. Third-Party Nature of Contributor Content

Content Users acknowledge that Contributor Content has been supplied by independent third parties.

Unless expressly stated otherwise, News By Wire is not the author, creator or copyright owner of Contributor Content.

News By Wire does not warrant or guarantee that Contributor Content is:

(a) accurate;

(b) complete;

(c) current;

(d) lawful;

(e) non-defamatory;

(f) non-infringing;

(g) free from third-party rights; or

(h) suitable for any particular use.

Content Users must exercise their own editorial and legal judgement before relying upon, reproducing or otherwise using Contributor Content.

15. No Republication Licence Granted by News By Wire

News By Wire does not grant Content Users a general copyright or intellectual property licence to reproduce, republish, distribute, commercially exploit or otherwise use Contributor Content.

The fact that Contributor Content is publicly accessible, hosted or distributed through News By Wire does not mean that it is:

(a) copyright-free;

(b) in the public domain;

(c) licensed for unrestricted reuse;

(d) free from third-party intellectual property rights; or

(e) approved by News By Wire for republication.

Except in relation to content expressly identified as owned or licensed for reuse by News By Wire, News By Wire does not represent that it has authority to grant a Content User permission to republish Contributor Content.

The presence of a press release on News By Wire must not therefore be treated as a warranty, representation or permission from News By Wire that a Content User may lawfully reproduce or republish it.

16. Content Users Must Determine and Obtain Necessary Permissions

A Content User wishing to reproduce, republish, distribute, adapt, translate or otherwise use Contributor Content is responsible for determining whether permission, a licence, consent, attribution or other authorisation is required for that proposed use.

Where permission or a licence is required, the Content User must obtain it directly from the relevant Contributor, originator, copyright owner or other appropriate rights holder before carrying out the proposed use.

This responsibility applies particularly to:

(a) full or substantial reproduction of press release text;

(b) photographs;

(c) images;

(d) illustrations and graphics;

(e) video;

(f) audio and music;

(g) infographics;

(h) documents and reports;

(i) research and data;

(j) quotations or extracts originating from third parties;

(k) logos and trade marks; and

(l) any other material potentially protected by copyright or other intellectual property rights.

A Content User must not assume that the person or organisation named as the subject or originator of a press release necessarily owns every copyright or other right contained within the release.

Where ownership, licensing or permitted use is uncertain, the Content User should make appropriate enquiries of the Contributor and, where necessary, the actual rights holder before proceeding.

Where a Content User has any doubt as to whether its proposed use requires permission, the Content User should obtain appropriate confirmation or independent advice before using the material.

Nothing in these Terms prevents a Content User from relying upon a copyright exception, statutory right or other legal entitlement available under applicable law.

The Content User is responsible for determining whether any such exception or right applies to its proposed use.

17. No Verification of Copyright or Permissions by News By Wire

News By Wire requires Uploaders to provide express warranties concerning ownership, licensing, authority and permissions.

However, News By Wire does not ordinarily independently investigate or verify:

(a) who owns copyright in Contributor Content;

(b) whether the Uploader is the copyright owner;

(c) whether a photograph, image, video, quotation or other item is owned by the Uploader;

(d) the terms of licences obtained by an Uploader;

(e) whether an Uploader has complied with every licence condition;

(f) whether a rights holder has imposed restrictions upon onward use;

(g) whether a particular Content User’s intended use is covered by any licence; or

(h) whether a Content User may rely upon a copyright exception.

News By Wire relies upon warranties and information supplied by Uploaders for the purpose of operating the Services.

Those warranties are given by the Uploader to News By Wire.

They do not constitute an independent warranty by News By Wire to a Content User that the Contributor Content is free from copyright or other rights.

18. No Warranty of Ownership or Non-Infringement

News By Wire does not represent, promise, guarantee or warrant to any Content User that:

(a) the Uploader is the copyright owner;

(b) the Uploader has obtained every necessary licence;

(c) the Uploader has permission to authorise third-party republication;

(d) Contributor Content is free from third-party rights;

(e) Contributor Content may be copied without permission;

(f) the use proposed by the Content User is lawful;

(g) a photograph or Media Asset may be reused;

(h) attribution alone is sufficient to permit use; or

(i) publication or republication will not result in a complaint or legal claim.

News By Wire gives no independent warranty of title, copyright ownership, authenticity, non-infringement or freedom from third-party rights in respect of Contributor Content.

19. Associated Images and Media Assets

Content Users must take particular care before reproducing photographs, video, audio, graphics, illustrations and other Media Assets.

The fact that a Media Asset appears alongside a press release does not itself mean that the Media Asset is licensed for unrestricted republication.

Unless News By Wire expressly states otherwise in relation to a particular asset, a Content User is responsible for determining whether permission is required and obtaining that permission from the Contributor or relevant rights holder before reproducing the asset.

Content Users should check for:

(a) photographer credits;

(b) agency credits;

(c) copyright notices;

(d) licence restrictions;

(e) permitted-use statements;

(f) embargoes; and

(g) other conditions attached to the Media Asset.

News By Wire does not warrant that an Uploader has accurately disclosed every restriction.

20. Responsibility of Content Users

A Content User is responsible for its own publication and use of Contributor Content.

This includes responsibility for:

(a) determining whether proposed use is lawful;

(b) obtaining necessary permissions;

(c) making appropriate copyright enquiries;

(d) complying with licence conditions;

(e) complying with attribution or credit requirements;

(f) checking embargoes and restrictions;

(g) factual and editorial verification;

(h) headlines written by the Content User;

(i) captions;

(j) introductions;

(k) translations;

(l) extracts and summaries;

(m) edits;

(n) commentary;

(o) the context in which Contributor Content is presented; and

(p) compliance with laws applying to the Content User’s own publication.

Material added or changed by a Content User must not be represented as having been created, approved, verified or endorsed by News By Wire.

21. No News By Wire Endorsement

A reference to News By Wire as the distribution source of Contributor Content means only that the relevant material was hosted or distributed through the News By Wire service.

It does not mean that News By Wire has:

(a) independently verified it;

(b) approved it;

(c) fact-checked it;

(d) adopted it;

(e) endorsed it; or

(f) confirmed that third parties may reuse it.

Content Users must not represent otherwise.

22. No Indemnity to Content Users

News By Wire does not provide Content Users with an indemnity, guarantee or warranty against copyright, intellectual property, privacy, defamation or other claims arising from their reproduction, republication or use of Contributor Content.

Subject to liability which cannot lawfully be excluded, a Content User has no contractual right to require News By Wire to:

(a) defend the Content User against such a claim;

(b) reimburse legal costs;

(c) pay damages or settlements;

(d) compensate the Content User;

(e) obtain a retrospective licence; or

(f) indemnify the Content User.

If a Content User receives or anticipates a copyright or other rights claim concerning Contributor Content, questions regarding ownership or licensing should be addressed to the relevant Contributor or rights holder.

23. Content User Indemnity

Where a Content User is bound by these Terms, to the fullest extent permitted by law that Content User agrees to indemnify and keep indemnified News By Wire against third-party claims, liabilities, losses, damages and reasonable legal and professional costs arising from:

(a) reproduction or republication of Contributor Content without obtaining permission required for that use;

(b) use outside the scope of permission obtained from a Contributor or rights holder;

(c) failure to comply with a copyright notice, licence condition, attribution requirement, embargo or usage restriction;

(d) unauthorised use of photographs, video, audio or other Media Assets;

(e) edits, headlines, translations, captions, commentary or other material created by the Content User;

(f) presentation of Contributor Content in a misleading, defamatory or unlawful context;

(g) any false representation that News By Wire authorised, verified or endorsed the relevant use; or

(h) any other breach by the Content User of these Terms.

PART D: CONTENT REMOVAL, COMPLAINTS AND COPYRIGHT CLAIMS

24. Right to Refuse, Restrict and Remove Content

News By Wire may refuse to publish, delay, restrict, suspend, disable access to or remove Contributor Content where News By Wire reasonably considers this necessary or appropriate.

Reasons may include:

(a) suspected breach of these Terms;

(b) copyright complaints;

(c) intellectual property complaints;

(d) defamation complaints;

(e) privacy complaints;

(f) legal or regulatory requirements;

(g) court orders;

(h) security concerns;

(i) suspected fraud;

(j) reputational risk;

(k) inaccurate account information; or

(l) other legal or commercial risk.

Where permitted by law, News By Wire may act without prior notice where immediate action is reasonably considered necessary.

The exercise of moderation or removal rights does not mean that News By Wire has approved or verified other Contributor Content which remains available.

25. Account Suspension and Termination

News By Wire may suspend, restrict or terminate an account where:

(a) these Terms have been breached;

(b) repeated or serious complaints are received;

(c) infringement is suspected;

(d) continued access creates material legal, regulatory, security or commercial risk;

(e) fraudulent or abusive use is suspected;

(f) payment obligations have not been met; or

(g) News By Wire is required to act by law or competent authority.

A sufficiently serious single breach may result in immediate suspension or termination.

26. Copyright and Other Rights Complaints

A person who believes that Contributor Content infringes copyright or another legal right should contact:

[email protected]

A complaint should, where reasonably possible, include:

(a) the complainant’s name and contact information;

(b) identification of the copyright work or other right allegedly infringed;

(c) identification of the Contributor Content complained about;

(d) the relevant URL or other precise location;

(e) an explanation of why the use is alleged to be unauthorised or unlawful;

(f) information reasonably demonstrating ownership or authority to act for the relevant rights holder; and

(g) supporting information reasonably necessary for News By Wire to understand the complaint.

News By Wire may request further information.

27. Notice and Takedown

News By Wire may investigate notices and complaints concerning allegedly unlawful or infringing Contributor Content.

News By Wire may remove, restrict or disable access to content while a complaint is being assessed.

News By Wire is not required to determine finally a dispute concerning copyright ownership, licensing, defamation, privacy or other rights between third parties.

Where appropriate, News By Wire may:

(a) refer a complaint to the relevant Uploader;

(b) request evidence of ownership or licensing;

(c) request additional information;

(d) restrict access while investigating;

(e) remove Contributor Content; or

(f) suspend the relevant account.

Uploaders must respond promptly to reasonable requests concerning their rights or authority to distribute Contributor Content.

Failure to provide satisfactory evidence may result in removal or suspension.

Where a statutory notice, complaint, counter-notice or redress process applies, the relevant person must provide the information required by applicable law.

News By Wire may forward complaints and relevant contact information to the Uploader where lawful and appropriate.

News By Wire may disclose information where required by law, court order, regulatory requirement or other valid legal process.

28. Repeat Infringement

News By Wire may suspend or terminate Uploaders who repeatedly submit infringing or unlawful material.

A single sufficiently serious infringement may also result in immediate suspension or termination.

News By Wire may retain reasonable records concerning infringement complaints and enforcement action for legal, regulatory, security and compliance purposes.

PART E: DISCLAIMERS AND LIABILITY

29. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and Contributor Content are provided on an “as is” and “as available” basis.

News By Wire does not warrant, represent or guarantee that:

(a) Contributor Content is accurate;

(b) Contributor Content is complete;

(c) Contributor Content is current;

(d) Contributor Content is lawful;

(e) Contributor Content is reliable;

(f) Contributor Content is free from copyright or other third-party rights;

(g) an Uploader owns copyright which it claims to own;

(h) an Uploader has obtained all permissions required;

(i) publication or republication is permitted;

(j) the Services will operate continuously or without error;

(k) distribution will result in publication by any third party;

(l) Contributor Content will achieve any particular media coverage, search ranking, traffic or commercial result;

(m) third-party services will remain available;

(n) every unlawful or infringing item will be identified before publication; or

(o) publication or use will not result in a complaint or claim.

Users remain responsible for their own commercial, legal, editorial and publishing decisions.

30. Copyright and Intellectual Property Claims Against Content Users

A Content User acknowledges that News By Wire hosts and distributes Contributor Content in reliance upon information and warranties provided by Uploaders.

Subject to liabilities which cannot lawfully be excluded or restricted, News By Wire shall not be liable to a Content User for a claim, demand, loss, liability, damage, settlement, legal cost, professional cost, lost revenue or other loss arising because Contributor Content:

(a) allegedly or actually infringes copyright;

(b) infringes another intellectual property right;

(c) was supplied by a person who did not own the necessary rights;

(d) was supplied by a person who lacked authority to permit its distribution;

(e) contained third-party material;

(f) was subject to a restriction not disclosed by the Uploader; or

(g) was otherwise unlawfully supplied.

News By Wire does not undertake to defend, reimburse, compensate or indemnify a Content User against such a claim.

Nothing in this section prevents News By Wire from pursuing its contractual rights against the Uploader responsible for the relevant Contributor Content.

31. Limitation of News By Wire Liability

Nothing in these Terms excludes or restricts liability for:

(a) death or personal injury caused by negligence where such liability cannot lawfully be excluded;

(b) fraud or fraudulent misrepresentation; or

(c) any other liability which applicable law does not permit News By Wire to exclude or restrict.

Subject to the preceding paragraph and to the fullest extent permitted by law, News By Wire shall not be liable for:

(a) statements, allegations, opinions or claims contained within Contributor Content;

(b) copyright infringement caused by Contributor Content supplied by an Uploader;

(c) infringement of other third-party rights caused by Contributor Content;

(d) defamation, privacy infringement, breach of confidence or other wrongdoing contained within Contributor Content;

(e) a Content User’s reproduction, republication or use of Contributor Content;

(f) acts or omissions of independent third parties;

(g) reliance upon Contributor Content;

(h) removal, suspension, rejection or restriction of Contributor Content in accordance with these Terms;

(i) failure of a third party to remove previously distributed content;

(j) loss of profits;

(k) loss of revenue;

(l) loss of business;

(m) loss of anticipated savings;

(n) loss of opportunity;

(o) loss of goodwill or reputation;

(p) loss or corruption of data;

(q) indirect or consequential loss; or

(r) events outside News By Wire’s reasonable control.

To the fullest extent permitted by law, News By Wire’s total aggregate liability to a user arising out of or in connection with the Services or these Terms shall not exceed the greater of:

(a) the fees actually paid by that user to News By Wire during the 12 months immediately preceding the event giving rise to the claim; and

(b) £100.

The limitations in this section apply whether liability arises in contract, tort including negligence, breach of statutory duty, misrepresentation or otherwise, to the extent permitted by law.

The Uploader and Content User indemnities contained in these Terms are not limited by News By Wire’s liability cap.

32. No Guarantee of Publication or Distribution

Payment for a News By Wire service does not guarantee acceptance or publication of content which breaches these Terms, applicable policies or law.

News By Wire may refuse, delay or terminate a distribution where reasonably necessary for legal, regulatory, security, technical or policy reasons.

Any entitlement to a refund shall be governed by the applicable order terms, service description and mandatory law.

A refund does not constitute an admission of liability, fault or wrongdoing.

33. No Guarantee of Third-Party Action

News By Wire does not guarantee:

(a) that any journalist or media organisation will view Contributor Content;

(b) that any third party will publish or report upon Contributor Content;

(c) where or how a third party will display information;

(d) that a third party will remove previously obtained material;

(e) any particular search-engine ranking;

(f) readership or traffic;

(g) media coverage; or

(h) any commercial outcome.

34. Service Availability

News By Wire may modify, suspend or discontinue all or part of the Services.

News By Wire does not guarantee uninterrupted availability.

News By Wire shall not be responsible, to the fullest extent permitted by law, for delay or failure caused by circumstances outside its reasonable control, including:

(a) telecommunications failures;

(b) hosting failures;

(c) cyber incidents;

(d) power failures;

(e) acts of government;

(f) industrial disputes;

(g) natural disasters; and

(h) failure of third-party infrastructure.

PART F: DATA, REGULATORY AND GENERAL TERMS

35. Data Protection

Each party is responsible for complying with data protection law applicable to its own processing of personal data.

An Uploader must not include personal data in Contributor Content unless the Uploader is lawfully entitled to submit that information for public publication and distribution.

The Uploader remains responsible for ensuring that personal information included within Contributor Content has been obtained and disclosed lawfully.

News By Wire’s own processing of personal data is governed by its Privacy Policy.

Nothing in these Terms excludes responsibility imposed directly upon News By Wire under applicable data protection law.

36. Regulatory and Legal Compliance

News By Wire may operate policies, procedures and systems intended to detect, assess, restrict, remove or respond to unlawful or prohibited material where appropriate or legally required.

Users must cooperate with reasonable requests made by News By Wire concerning legal or regulatory compliance.

Nothing in these Terms prevents News By Wire from acting in response to:

(a) legislation;

(b) regulatory requirements;

(c) court orders;

(d) law enforcement requests;

(e) legal complaints; or

(f) other valid legal processes.

37. Third-Party Services

News By Wire may use Distribution Partners and other third-party hosting providers, networks, websites, databases, platforms, search services, social media services, aggregators and technology providers.

News By Wire does not control independent third parties.

To the fullest extent permitted by law, News By Wire is not responsible for their independent acts, omissions, policies, security, availability or operation.

38. Termination

A user may cease using News By Wire at any time, subject to outstanding contractual and payment obligations.

News By Wire may suspend or terminate access in accordance with these Terms.

Termination does not affect rights, liabilities or obligations accrued before termination.

Provisions concerning:

(a) intellectual property;

(b) licences granted to News By Wire;

(c) warranties;

(d) indemnities;

(e) previously distributed content;

(f) limitation of liability;

(g) complaints;

(h) dispute resolution; and

(i) governing law

survive termination to the extent necessary to give them effect.

39. Changes to These Terms

News By Wire may amend these Terms from time to time.

The current version will be made available through the News By Wire website together with its effective date.

Where reasonably practicable, material changes affecting registered users will be communicated through the website, account interface or email.

Continued use of the Services following the effective date of revised Terms constitutes acceptance where legally effective.

40. Entire Agreement

These Terms, together with any applicable order form, service description, Privacy Policy and other policies expressly incorporated into them, constitute the agreement between the relevant user and News By Wire concerning their subject matter.

A user must not rely upon a statement which is not incorporated into that agreement.

Nothing in this section excludes liability for fraud or fraudulent misrepresentation.

41. Severability

If a provision of these Terms is held to be unlawful, invalid or unenforceable, it shall be treated as modified to the minimum extent necessary to make it lawful and enforceable.

Where modification is not possible, the relevant provision shall be severed.

The remaining provisions shall continue in effect.

42. No Waiver

A failure or delay by News By Wire in exercising a right does not constitute a waiver of that right.

A waiver concerning one breach does not constitute a waiver concerning a later breach.

43. Assignment

News By Wire may assign or transfer its rights and obligations under these Terms as part of a:

(a) corporate reorganisation;

(b) financing;

(c) merger;

(d) acquisition;

subject to applicable law.

A user may not assign its obligations under these Terms without News By Wire’s prior written consent.

44. Third-Party Rights

Except for News By Wire’s affiliates, directors, officers, employees, contractors and agents expressly protected by an indemnity or limitation in these Terms, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

The parties may vary or terminate these Terms without the consent of a third party.

45. Governing Law and Jurisdiction

These Terms and any non-contractual obligations or disputes arising from them are governed by the law of England and Wales.

Where the user acts in the course of a business, trade or profession, the courts of England and Wales shall have exclusive jurisdiction over disputes arising from or connected with these Terms or the Services.

Nothing in these Terms excludes mandatory rights or laws which cannot legally be excluded by agreement.

Users supplying, accessing or publishing content in other jurisdictions remain responsible for complying with laws applicable to their own activities in those jurisdictions.
